These Terms & Conditions ("Terms") govern your use of https://googolsell.com/ (the "Website" or "Platform") and any purchases you make through it. The Website is operated by WEXERA LTD, a company incorporated in England and Wales under company number 17082609, with its registered office at International House, 55 Longsmith Street, Gloucester, United Kingdom, GL1 2HT (the "Website Administration", "we", "us" or "our"). By accessing or using the Website you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, please do not use the Website.

1. Definitions

1.1. For the purposes of these Terms, the following definitions apply:

  • "Website Administration", "we", "us" or "our" — WEXERA LTD, the operator of the Website.
  • "Terms" or "Agreement" — these Terms & Conditions, as updated from time to time, together with all documents listed in clause 11.10.
  • "User", "you" or "your" — any individual who accesses or uses the Website, whether as a guest or as a registered account holder.
  • "Products" — digital products offered for sale on the Website, namely activation keys for computer games and other digital content.
  • "Order" — a request submitted by a User to purchase one or more Products in accordance with the Website's checkout process.
  • "Account" — the personal user account a User may register on the Website.

1.2. Singular terms include the plural and vice versa; references to any gender encompass all genders.

2. Acceptance of Terms

2.1. By accessing or using the Platform, the User accepts these Terms in full, without alteration.

2.2. The User confirms that they have the legal capacity to enter into binding agreements under the laws applicable in their jurisdiction.

2.3. The Website Administration reserves the right to modify these Terms at any time. Such amendments will not retroactively affect rights and obligations that arose before the change takes effect.

2.4. Users will be notified of material amendments through the Platform or by email.

2.5. Updated Terms become effective 14 days after publication. For new Users, the version effective at the time of registration applies.

2.6. If a User does not agree with the updated Terms, the User may discontinue use of the Platform at any time.

2.7. The Platform is intended for individuals aged 18 years or older. By registering or using the services, the User confirms that they are at least 18 years of age. Users who are under 18 must not register on or use the Platform.

2.8. The User is responsible for ensuring that the use of the Platform and the purchase of Products are lawful under the laws and regulations of the User's jurisdiction. Certain Products may be restricted or unavailable in some regions, and the Website Administration may refuse to deliver Products where applicable laws prohibit it.

3. User Account

3.1. Access to the Platform and registration of a User account are provided free of charge, subject to these Terms. The Platform enables Users to obtain digital products, namely license keys for computer games and other digital content listed on the Website, which may be offered on a paid basis.

3.2. Registration is required to access certain Platform functionalities and involves completing the relevant online form.

3.3. Each User may maintain only one Account.

3.4. Access to the Platform requires an internet-enabled device and an up-to-date web browser.

3.5. Users must provide a valid email address and create a secure password during registration.

3.6. Upon successful registration, Users gain access to their personal Account area.

3.7. Users must ensure that their registered email remains valid and update it promptly if it changes.

3.8. The User consents to the processing of their personal data for the purposes set out in our Privacy Policy.

3.9. Access to certain features may be limited depending on the User's geographic location.

3.10. The Website Administration may temporarily restrict access to features due to maintenance or technical issues and will use reasonable efforts to restore access in a timely manner.

4. Account Security

4.1. Access to Account features requires login credentials (email and password).

4.2. Login credentials are unique to each User.

4.3. Users must safeguard their login details and must not disclose them to any third party.

4.4. Users are responsible for all activity that occurs under their Account.

4.5. The User must notify the Website Administration immediately at [email protected] if the User becomes aware of any unauthorised access to their Account.

5. Payments

5.1. All Products must be paid for in full prior to delivery. Prices are displayed on the Platform and are indicated in EUR, GBP and USD.

5.2. Payments are processed via third-party payment service providers. Users are required to provide accurate and complete payment details. The Website Administration is not responsible for any errors, delays, or security issues arising from such third-party services.

5.3. Available payment methods are specified on the Platform and may be updated from time to time.

5.4. Any transaction fees, currency conversion fees, or additional charges imposed by banks or payment providers shall be borne by the User.

5.5. The Website Administration reserves the right to refuse or cancel any Order in the event of failed, declined, or suspected fraudulent payments.

6. Purchase and Delivery

6.1. Upon successful payment, digital products are delivered electronically to the User. Delivery is deemed complete once the activation key is made available in the User's account.

6.2. Standard delivery is immediate unless the Order requires manual verification.

6.3. Activation keys are made available through the User's personal Account. The User is responsible for keeping the activation key and Account access secure.

6.4. Pre-orders are delivered on the specified release date of the relevant Product.

6.5. Pre-orders may be cancelled by the User up to three (3) days before release, provided that the Product or any associated bonuses have not yet been delivered. After this period, cancellation of a pre-order is not guaranteed.

6.6. Promotional services or fee-waived offers may be made available from time to time and will be announced on the Platform.

6.7. Delivery times may vary depending on geographic and legal factors but will follow applicable release schedules in the United Kingdom and the European Economic Area.

6.8. Some Products may be subject to age restrictions under recognised content rating systems such as PEGI, USK or ESRB. The User is responsible for ensuring that their purchase and activation of such Products comply with applicable age-rating requirements.

6.9. By purchasing digital content, the User expressly agrees to immediate performance of the contract and acknowledges that their right of withdrawal is lost once delivery has commenced.

7. Prohibited Conduct

7.1. Users must not:

  • a) use the Platform contrary to its intended purpose;
  • b) violate any applicable laws or third-party rights;
  • c) disseminate false, misleading or harmful information;
  • d) misrepresent their identity or affiliations;
  • e) bypass or attempt to bypass Platform security measures;
  • f) harass, threaten or mislead other Users;
  • g) alter, copy or replicate Platform source code or any part of it;
  • h) disrupt the Platform or harm other Users;
  • i) attempt unauthorised access to other Users' Accounts;
  • j) use illicit or fraudulently obtained funds;
  • k) engage in money laundering or fraud.

7.2. We commit:

  • a) not to sell used or previously activated Products;
  • b) not to supply defective or invalid items knowingly;
  • c) not to distribute illegally obtained Products;
  • d) not to misrepresent Products;
  • e) to consider buyer complaints in accordance with our Refund Policy and applicable consumer law.

7.3. Violations of clause 7.1 may result in suspension or termination of the User's Account.

7.4. Rightsholders may submit infringement notices to [email protected]. Notifications must include:

  • a) evidence of the rights asserted;
  • b) details of the allegedly infringing content;
  • c) supporting documentation;
  • d) a statement that the notifying party has no rights to the content in question, if applicable;
  • e) contact information of the notifying party.

7.5. Valid notifications may result in removal of the relevant content and notification of the User concerned.

7.6. Users may respond to a notification with evidence of their own rights (e.g. licences or ownership proof).

7.7. Content may be permanently removed if:

  • a) the responsible User is unidentifiable;
  • b) no response is received within 14 days;
  • c) the User's rights cannot be substantiated;
  • d) a competent authority requires removal;
  • e) reliable evidence of illegality is obtained.

7.8. The Website Administration reserves the right to request identity verification, temporarily suspend, or permanently terminate User Accounts in cases of suspected fraud, money laundering or other misuse of the Platform.

8. Intellectual Property

8.1. All rights in and to the Website, including its design, content, software, trademarks and source code, belong to the Website Administration or its licensors.

8.2. All rights in and to the Products belong to their respective copyright holders.

8.3. Users may use Products solely for personal, non-commercial purposes in accordance with the terms of the relevant publisher's end-user licence agreement.

9. Limitation of Liability

9.1. Communications with Users are conducted by electronic means.

9.2. To the maximum extent permitted by applicable law, we shall not be liable for damages resulting from:

  • a) technical issues, third-party service failures, or events of force majeure;
  • b) the User's breach of these Terms;
  • c) disputes between Users.

9.3. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including the User's statutory rights as a consumer.

9.4. Misuse of the Platform or abuse of promotional offers may lead to suspension of the relevant Account and forfeiture of any funds or benefits obtained through such misuse, subject to applicable law.

10. Complaints Procedure

10.1. Complaints should be submitted by email to [email protected].

10.2. We will use reasonable efforts to acknowledge complaints within 5 working days and to resolve them within 14 days from receipt.

10.3. A complaint must include a description of the issue, supporting evidence and the User's proposed resolution.

10.4. Delivered digital Products are non-refundable once the activation key has been displayed or otherwise made available to the User, as further set out in the Refund Policy.

10.5. If a User residing in the European Economic Area is not satisfied with the outcome of a complaint, the User may also use the European Commission's Online Dispute Resolution platform available at https://ec.europa.eu/odr.

11. Final Provisions

11.1. These Terms are valid indefinitely and are governed by the laws of England and Wales.

11.2. Either party may terminate this Agreement. Users may request termination by contacting us via https://googolsell.com/contacts/.

11.3. The Website Administration may terminate User Accounts without cause by providing 14 days' written notice. Termination for cause may take effect immediately.

11.4. Users may request deletion of their Account at any time. We will confirm receipt of the request and complete deletion within 7 days, subject to any legal obligation to retain certain data.

11.5. Material breaches of these Terms may result in immediate termination by the Website Administration.

11.6. All notices to the Website Administration must be sent to [email protected].

11.7. These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction over any disputes, subject to any mandatory consumer-protection rules of the country where the User resides.

11.8. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect. The invalid provision will be replaced with a valid one of similar economic and legal effect. This does not affect the User's statutory consumer rights.
